1. Introduction

Welcome to Zikhara, a software platform operated by Zikhara LLC, a company registered in SHAMS, Sharjah, United Arab Emirates (“Zikhara”, “we”, “us”, “our”).

These Terms and Conditions (“Terms”) govern your access to and use of:

• the Zikhara web-based Software-as-a-Service platform (“SaaS Web App”), and
• the Zikhara browser extension, including the Chrome Extension (“Plugin”),

together referred to as the “Platform”.

By accessing or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Interpretation and Definitions

• Account: A registered user account that enables access to the Platform and its features.
• Company: Zikhara LLC, SHAMS, Sharjah, United Arab Emirates.
• Content: Any data, information, or material uploaded, submitted, generated, or produced through the Platform, including text, images, videos, audio, scripts, templates, and AI-generated outputs.
• AI-Generated Content: Content produced wholly or partially through automated or artificial intelligence–based systems operated by Zikhara.
• Credits: Prepaid or subscription-based usage units required to access or generate features and content across the Platform.
• Device: Any internet-enabled device used to access the Platform.

3. Account Terms

3.1 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account.

3.2 User Content Responsibility

You are solely responsible for any Content you upload, submit, import, or generate using the Platform and for ensuring such Content complies with all applicable laws, regulations, and third-party rights.

By submitting Content, you grant Zikhara a non-exclusive, worldwide, royalty-free license to process and use such Content for operating, improving, and promoting the Platform, including internal analysis, demonstrations, and marketing examples, provided such use does not publicly identify you or disclose confidential information without consent.

3.3 AI Output Disclaimer & User Responsibility

The Platform uses artificial intelligence and automated systems to generate content. AI-generated outputs may be inaccurate, incomplete, misleading, unlawful, or infringe third-party rights.

Zikhara does not guarantee or verify AI-generated content. You are solely responsible for reviewing and validating content before any public, commercial, or operational use.

AI-generated content is provided for general informational purposes only and does not constitute legal, financial, marketing, or professional advice.

Use of AI-generated content is entirely at your own risk.

3.4 Acceptable Use & Legal Compliance

You agree not to use the Platform for unlawful, abusive, infringing, or prohibited activities. Zikhara may suspend or terminate access for violations.

4. Service Overview

4.1 Description

Zikhara is a self-serve AI-powered SaaS platform designed primarily for product-related content generation, including workflows connected to e-commerce platforms such as Amazon Seller Central. Certain customers may also receive managed or enterprise services.

4.2 License to Use Platform

Zikhara grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms.

5. Credits, Billing & Payments

5.1 Credit-Based Usage

Some features of the Platform require the use of Credits, which may be used across the SaaS Web App and the Chrome Extension.

5.2 Subscription Plans

Subscription credits are allocated monthly and do not roll over if unused.

5.3 Pay-As-You-Go Credits

Pay-as-you-go credits expire twelve (12) months from the purchase date if unused.

5.4 Refund Policy

All purchases and credit usage are non-refundable, including unused credits or terminated accounts.

5.5 Credit Pricing Changes

Zikhara may adjust credit costs. Any increase will be communicated in advance. Reductions may occur without notice.

5.6 Billing Enforcement

Zikhara reserves the right to suspend or restrict access in cases of failed payments, suspected misuse, abuse of credits, or attempts to circumvent usage limits. Credits obtained through misuse or error may be revoked.

6. Privacy & Data

Your use of the Platform is subject to our Privacy Policy, which explains how personal data is collected, used, and protected.

By using the Platform, you consent to the collection and processing of personal data as described in the Privacy Policy.

7. Intellectual Property

7.1 User Ownership

You retain ownership of final AI-generated content produced through your Account.

7.2 No IP Guarantees

Zikhara does not guarantee originality, non-infringement, or copyright eligibility of AI-generated content. You are responsible for determining appropriate usage.

7.3 Platform Ownership

All rights, title, and interest in and to the Platform, including software, interfaces, workflows, templates, models, and underlying technology, are owned by Zikhara. No rights are granted except as expressly stated in these Terms.

8. Additional Terms

8.1 Enterprise & Managed Services

Enterprise engagements may be governed by separate written agreements, which apply in addition to these Terms and override them only in case of direct conflict.

8.2 Termination

Zikhara may suspend or terminate access at its discretion. Upon termination, access to Content and Credits may be lost without compensation.

8.3 Feedback

Feedback you provide may be used by Zikhara without obligation or compensation.

8.4 Limitation of Liability

To the maximum extent permitted by law, Zikhara shall not be liable for any indirect, incidental, consequential, or special damages. Zikhara’s total liability arising out of or related to the Platform shall not exceed the amounts paid by you to Zikhara in the twelve (12) months preceding the event giving rise to the claim.

8.5 Governing Law

These Terms are governed by the laws of India.
